PGE Polska Grupa Energetyczna S.A. to merge with PGE Electra S.A.

 On 16 February this year the Management Board of PGE Polska Grupa Energetyczna S.A. adopted the decision to initiate a merger procedure between PGE and its subsidiary, PGE Electra S.A.

The planned merger will be effected by way of transferring all of PGE Electra's assets to PGE (merger by acquisition), without any increase in PGE's share capital or any exchange of PGE Electra shares for shares in PGE.

The merger's objective is  improved transparency in the PGE Capital Group as well as the allocation of cash flows and margins at the levels characteristic of a company listed on the Warsaw Stock Exchange. This will facilitate a further reduction in financial costs and the payment of dividend to shareholders.

Within the PGE Capital Group, PGE Electra is responsible for wholesale trade in electricity. PGE Polska Grupa Energetyczna S.A. holds 100% of the shares in PGE Electra, and thus controls 100% of the votes at the company's General Meetings.
