The Financial Supervisory Authority Accepts PGE's Information Memoranda

On 27 August 2010 the Financial Supervisory Authority issued a decision ascertaining the formal and material equivalence and consistence of information included in the Information Memorandum of PGE Polska Grupa Energetyczna SA as well as the Memorandum of PGE Obrót SA and the Memorandum of PGE Elektrownia Bełchatów SA with the information included in the share issue prospectus.

The Information Memoranda were prepared in connection with the continuing Consolidation Programme of the PGE Capital Group.

The Memorandum of PGE Polska Grupa Energetyczna SA includes a resolution concerning the merger of PGE Polska Grupa Energetyczna S.A. (the Acquiring Company) with PGE Górnictwo i Energetyka S.A. and PGE Energia S.A. (the Company's Being Acquired) and adopted by the shareholders during the Extraordinary General Meeting of PGE held on 3 August 2010.
